Study Termination Policy

Overview
This policy defines the procedure for the early termination of services provided for a single study subject to an executed single study sales order (“Single Study SO”) between Medidata and Customer or Partner, as applicable (herein, collectively referred to as “Client”). In the event that a Client reasonably elects to terminate a Single Study SO as permitted in Client’s master agreement with Medidata, the Client may terminate the applicable Single Study SO subject to the terms of this policy. In the event multiple Single Study SOs are aggregated in a single contract document, this policy will apply to each Single Study SO independently.
This policy applies exclusively to Single Study SOs.
Early Termination Notice Period
Client may elect to terminate a Single Study SO as permitted in Client’s master agreement with Medidata upon a minimum of three (3) months’ written notice to Medidata (the “Notice Period”).
Exclusions to the Notice Period
This notice period is not required for:
- Studies terminated prior to the Sales Order Effective Date.
- Single study Sales Orders for which invoicing is under a governing enterprise or subscription Sales Order.
Process
In the event that a Client reasonably elects to terminate a Single Study SO as set forth in Client’s master agreement with Medidata, the process below applies. This process is required even if the Single Study Sales Order is exempt from the Notice Period as identified in the Section above.
- Client must complete and submit the online Study Termination Form in advance of the requested effective date of termination.
- Termination requests cannot be back-dated. The effective date of termination must be at least three months in the future relative to the submission of the Study Termination Form.
- The requested termination date must coincide with an Anniversary Day of the Single Study SO. “Anniversary Day” means either: (i) the day following the day of the month of the Single Study SO end date, where the end date is other than 28th – 31st of the month; or (ii) the first day of the month, where the Single Study SO end date is 28th – 31st of the month.
- Customer may not Suspend or Postpone the Study during the Notice Period
- Upon the effective date of termination, all Services provided by Medidata under the applicable Single Study SO shall cease, and Client and its Authorized Users shall cease all use of the applicable Services.
In the event your master agreement with Medidata contains a termination notice period that conflicts with this policy, the terms and conditions of your master agreement will control.
