Client’s use of Medidata’s proprietary sample code that illustrates the processing of Client Data extracted from Rave, together with any documentation that Medidata may make available (“Sample Code”), shall be subject to the following: Medidata shall provide Client access to view and use the Sample Code for the sole purpose of developing software that processes Client Data extracted from Rave with ODM Adapter. Client shall access and use the Sample Code solely in conjunction with Rave. For purposes of this Sales Order, the Subscription Services warranty provision in the Agreement shall be deleted and replaced with the following with respect to the Sample Code: “THE SAMPLE CODE IS PROVIDED BY MEDIDATA ON AN “AS-IS” BASIS, WITHOUT WARRANTY OR SUPPORT SERVICES. THE ENTIRE RISK OF AS TO THE QUALITY AND PERFORMANCE OF THE SAMPLE CODE SHALL BE BORNE BY CLIENT. THE SAMPLE CODE IS BEING PROVIDED TO CLIENT WITHOUT CHARGE AND THE PARTIES AGREE THAT THE FOREGOING LIMITATIONS REPRESENT A REASONABLE ALLOCATION OF RISK UNDER THIS SALES ORDER.”
